TRUE AI — Terms of Service

Operator: True Trading Corp., a company incorporated in the Republic of Panama (Reg. No. 155768612), PH Oceania Business Plaza, Level 15, Office 15B, Punta Pacifica, Panama City, Republic of Panama ("TRUE", "we", "us", "our").

1. Acceptance of these Terms

These Terms of Service ("Terms") are a binding agreement between you and TRUE governing your access to and use of the TRUE AI application at app.truefinance.ai, our related websites, APIs, and mobile apps (together, the "Service").

You accept these Terms by checking "I have read and agree to the Terms of Service and Privacy Policy" when you connect your wallet or first use the Service. We record your acceptance, including the version of these Terms and the date. If you do not agree, do not use the Service. These Terms include an arbitration agreement and class-action waiver (§16) and important risk disclosures (§9) and fee terms (§5).

2. Eligibility & restricted persons

You represent and warrant that:

  1. You are at least 18 years old and able to form a binding contract.
  2. You are not a U.S. person and are not accessing the Service from the United States.
  3. You are not located in, resident in, or organized under the laws of any sanctioned jurisdiction — currently including Cuba, Iran, North Korea, Syria, Russia, Belarus, the Crimea / Donetsk / Luhansk regions, Venezuela, and Sudan — and you are not a person subject to sanctions administered by the UN, OFAC, the EU, or the UK (a "Restricted Person").
  4. Your use of the Service complies with the laws that apply to you. You are responsible for determining whether the Service is lawful in your location.

We may use IP geolocation, wallet screening, and other controls to enforce these restrictions and may block, suspend, freeze, or reverse access or transactions accordingly. Using a VPN or other means to circumvent these controls is prohibited.

3. Nature of the Service

  1. Tools and information. TRUE provides market data, analytics, AI-generated content, and tools that let you initiate Solana-based transactions. The Service is for your own use.
  2. Non-custodial. TRUE never holds your private keys or takes custody of your assets. Every transaction is authorized and signed through your own wallet. For automated features, execution occurs only within the limits you set and authorize, which you can change or revoke at any time.
  3. Not advice; not a broker. TRUE is not your broker, dealer, fiduciary, or financial, legal, or tax adviser. See §§9–10.
  4. Third parties. Core functions rely on third parties (for example, Jupiter for swaps, deBridge for bridging, Banxa for fiat on-ramp, and data/infrastructure providers). We do not control them and are not responsible for their performance, fees, or availability (§13).

4. Your wallet & responsibility

You are solely responsible for your wallet, keys, devices, and all activity under your wallet session. On-chain transactions are irreversible. We cannot reverse transactions, recover lost keys, or restore assets sent in error. Notify us promptly of any suspected compromise.

5. Fees

  1. TRUE Fee. TRUE charges a platform fee on certain swaps and automated transactions. The applicable fee is shown to you, as an amount and a percentage, before you authorize each transaction, and is described on our Fees page at truefinance.ai/fees, which is incorporated into these Terms.
  2. Third-party fees are separate. Network/gas fees, liquidity-provider/protocol fees (e.g., Jupiter), bridge fees (deBridge), and on-ramp fees (Banxa) are charged by those third parties and shown separately where available.
  3. Records. A record of the TRUE Fee charged for each transaction is available in your activity history.
  4. Changes. We may change the Fees page prospectively; the fee shown to you when you authorize a transaction governs that transaction.
  5. Non-refundable. All fees are earned when charged and are non-refundable except where required by applicable law; transactions are final and cannot be reversed.

6. Swaps, bridging & on-ramp

You initiate and sign every swap with your own wallet. Quotes, rates, slippage, and estimates may change before execution. Swaps route through third-party protocols and may fail, be delayed, or execute at a different price due to market movement, slippage, MEV, or protocol/network conditions. We are not liable for those outcomes.

7. Automated features (Autopilot / agents)

If you enable automated features, you authorize the Service to execute swaps automatically within the parameters, asset limits, and spending ceilings you set, until you disable it or those limits are reached. You remain responsible for all automated transactions. Automated strategies can lose money, act on imperfect data, or behave unexpectedly. Execution remains non-custodial and user-authorized; you may revoke the authority at any time.

8. Rewards & Points

  1. Promotional, not wagers or securities. TRUE may offer loyalty Points and promotional rewards (including trading-reward programs and leaderboards). These are promotional incentives. Specific programs are governed by their Official Rules, incorporated by reference, and are void where prohibited.
  2. Points have no monetary value. Points are not money, not a financial instrument, carry no cash value, are non-transferable, and confer no ownership, equity, or governance rights. We may modify, expire, or discontinue Points at any time.
  3. No token promise. TRUE has not committed to converting Points into any token or to any cash distribution. Any future program, if one ever occurs, would be at TRUE's sole discretion, subject to separate terms and eligibility, and is not guaranteed. Nothing in the Service is an offer of, or solicitation to acquire, any security or token.
  4. Eligibility & screening. Reward payouts may be subject to eligibility checks, sanctions/wallet screening, geographic exclusions, and applicable tax reporting or withholding (§11).
  5. Integrity & anti-abuse. You must not manipulate, exploit, or abuse the Points or rewards system. Abuse includes, without limitation: operating multiple or fake accounts (multi-accounting / Sybil), wash or self-trading, exploiting bugs or pricing errors, using bots or scripts to farm Points, collusion, fake or self-referrals, and artificially inflating volume or activity. TRUE determines, in its sole discretion, what constitutes abuse. Where abuse is suspected, TRUE will conduct a good-faith investigation of the relevant activity before acting; following that investigation, TRUE may withhold, reduce, or forfeit affected Points and rewards and suspend or permanently remove the account from the platform, in addition to any other remedies in these Terms.

9. Risk disclosures

Crypto assets are volatile and high-risk, and you may lose some or all of your assets. Risks include price volatility, total loss, illiquidity, smart-contract and protocol failure, network congestion, regulatory change, tax consequences, and the irreversibility of transactions. AI-generated content may be inaccurate or incomplete. You use the Service and trade entirely at your own risk.

10. No financial, investment, legal, or tax advice

All content — including analytics, signals, prices, and AI outputs — is informational and educational only, is not a recommendation, solicitation, or advice, and must not be relied on as such. You are solely responsible for your decisions and should consult your own licensed professionals.

11. Taxes

You are responsible for determining and paying all taxes on your transactions and any rewards. Rewards may be taxable at fair-market value when received. Where required by law, TRUE may collect tax information, report, and/or withhold on rewards before payout, and may condition or withhold a payout pending the necessary information.

12. Acceptable use

You agree not to use the Service unlawfully or for money laundering, sanctions evasion, fraud, or market manipulation; to circumvent geographic, security, or eligibility controls (including via VPN or misrepresentation); to abuse or game rewards programs; to scrape, overload, reverse-engineer, or interfere with the Service; or to harvest other users' data. We may suspend or terminate access for violations.

13. Third-party services

The Service integrates and links to third parties. We are not responsible for their content, fees, availability, security, acts, or omissions, and your use of them is at your own risk and subject to their terms.

14. Intellectual property

The Service, software, trademarks, and content (excluding third-party and market data) are owned by TRUE or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not copy, modify, distribute, or create derivative works except as permitted.

15. Disclaimers, assumption of risk, limitation of liability & indemnification

No warranties. To the fullest extent permitted by law, the Service and all content, data, analytics, AI outputs, and tools are provided "as is" and "as available," without warranties of any kind — express, implied, or statutory — including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, security, and uninterrupted or error-free operation. TRUE does not warrant that any content or AI output is accurate, current, complete, or reliable, and you rely on it entirely at your own risk.

Assumption of risk. Trading and crypto assets are high-risk and you may lose some or all of your assets. You knowingly assume all risks arising from your use of the Service and your transactions, and you are solely responsible for your decisions and their outcomes.

No liability. To the fullest extent permitted by law, TRUE, its affiliates, and their respective officers, directors, employees, agents, and licensors (the "TRUE Parties") will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost or diminished assets, lost data, loss of goodwill, or trading, investment, or market losses, arising out of or relating to the Service — even if advised of the possibility. Without limiting the foregoing, the TRUE Parties are not liable for losses arising from: your reliance on any content or AI output; slippage, failed, delayed, or mispriced transactions, MEV, or smart-contract or protocol failures; the acts, omissions, fees, or failures of third parties (including Jupiter, deBridge, Banxa, wallet, data, and infrastructure providers); the irreversibility of on-chain transactions; loss, theft, or compromise of your wallet, keys, or credentials; security incidents, unauthorized access, bugs, or downtime; or any event beyond our reasonable control (force majeure).

Liability cap. To the fullest extent permitted by law, the TRUE Parties' total aggregate liability arising out of or relating to the Service will not exceed the lesser of (a) the total TRUE Fees you paid in the 3 months before the event giving rise to the claim, or (b) US$100.

No fiduciary duty. TRUE is not your broker, dealer, agent, fiduciary, or adviser, and owes you no fiduciary, advisory, or best-execution duty.

Time limit on claims. Any claim arising out of or relating to the Service must be brought within one (1) year after it arises (or the shortest period permitted by applicable law); otherwise it is permanently barred.

Indemnification. You will indemnify, defend, and hold harmless the TRUE Parties from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: your use of the Service; your transactions; your breach of these Terms; your violation of any law or any third party's rights; or content you submit. TRUE may assume the exclusive defense and control of any indemnified matter at your expense, and you will cooperate. This obligation survives termination.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law (such as for fraud or willful misconduct). Some jurisdictions do not allow certain exclusions or limitations; there, they apply to the fullest extent permitted.

16. Dispute resolution — informal resolution, arbitration & class-action waiver

  1. Informal resolution first. Before starting arbitration, contact us at [email protected]; the parties will try in good faith to resolve the dispute informally for 60 days.
  2. Binding arbitration. Any dispute not resolved informally will be resolved by final and binding arbitration administered by the Singapore International Arbitration Centre (SIAC) under its rules, seated in Singapore, conducted in English before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
  3. Class-action waiver. Disputes may be brought only on an individual basis. You and TRUE waive any right to participate in a class, collective, consolidated, or representative action.
  4. Carve-outs. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief in any competent court to protect intellectual property or prevent misuse.

17. Governing law

These Terms are governed by the laws of the Republic of Panama, without regard to conflict-of-laws rules, subject to §16. Mandatory consumer-protection laws of your place of residence may still apply.

18. Changes; suspension; termination

We may update these Terms at any time; material changes will be notified through the Service or by email, the version/date will change, and continued use and/or re-acceptance at next login constitutes acceptance. We may suspend, restrict, or terminate your access, remove content, and withhold or forfeit Points and rewards, at any time, for any or no reason, with or without notice, and without liability to you — including for suspected breach, abuse, fraud, legal or compliance reasons, or risk. Provisions that by their nature should survive (fees owed, IP, disclaimers, assumption of risk, limitation of liability, indemnity, dispute resolution, governing law) survive termination.

19. Miscellaneous

These Terms (with the Privacy Policy, Fees page, and any Official Rules) are the entire agreement between you and TRUE on this subject. If any provision is unenforceable, the rest remain in effect. No waiver is implied by delay. You may not assign these Terms; we may assign to an affiliate or successor. Headings are for convenience. The English version controls.
